HERBERT D.SIMONS - has been a director of XTO Energy Inc. since 2000. Mr. Simons serves as Chair of the Audit Committee and a member of the Compensation Committee. He is an attorney specializing in federal income tax law and was of counsel with the law firm of Winstead Sechrest & Minick P.C. in Houston, Texas from 1999 until his retirement in April 2007. Prior to that, he was an associate and partner in the law firm of Butler & Binion, L.L.P. from 1963 through 1999. Mr. Simons is a Certified Public Accountant and served as a member of the Rice University Accounting Council from 1981 until 1996.
